In light of Sinclair's acquisition, Scripps is taking sensible yet decisive action to protect company shareholders. While Scripps is open to considering any genuine offer, it will not permit opportunistic purchases, with the board remaining focused on only executing those transactions that truly enhance value for all stakeholders.

A Sinclair takeover of Scripps would create massive value for both companies. Not only would it triple the returns of any Scripps shareholder, but a merger would also generate more than $300 million in annual synergies while requiring no external financing. Such consolidation is vital to compete against big-tech players and sustain local news operations, and would not have been possible before.
